Membership Agreement — PB & The MRN LLC
Last updated: October 19, 2026. This Agreement applies to professional membership in The Medical Referral Network (MRN), operated by PB & The MRN LLC, a North Carolina limited liability company. Review it with the selected plan, Terms & Conditions and Privacy Policy before enrolling.
1. Purpose and independent services
MRN provides a professional network and referral/lead opportunities. MRN is not a real estate brokerage or mortgage lender and does not represent consumers in transactions. Members independently provide their own licensed services. Membership is not a guarantee of leads, income, loan approvals, transaction results or exclusive territory unless expressly agreed in writing.
2. Eligibility and licensing
Maintain all licenses, brokerage approvals, insurance and qualifications required for your services and locations. Provide truthful profile, licensing and contact details, and promptly report changes or discipline affecting eligibility. MRN may verify credentials and approve, decline or limit membership by market or specialty.
3. Membership, fees and renewal
The selected plan states price, billing interval, term, renewal conditions and included services. Fees are billed as disclosed at enrollment. Manage cancellation through your account or contact themedicalreferralnetwork@gmail.com before the next renewal. Refunds are governed by the plan and refund terms presented at purchase, subject to mandatory law. Price or renewal changes require any legally required notice and consent. Failure to pay may result in suspension.
4. Leads and permitted use
A lead may be provided to more than one participating professional. Use consumer information only for the specific referral and contact purposes disclosed to that consumer and permitted by their choices and law. A paid membership or purchased lead does not create consent to every form of marketing. Do not scrape, sell, resell, redistribute or use leads for unrelated campaigns without lawful authority and any required specific consent. Do not use data to discriminate unlawfully or make eligibility decisions without the required legal basis and procedures.
5. Privacy and communication duties
Protect consumer/member data against unauthorized use and access. Honor privacy, deletion, sale/sharing opt-out, do-not-call and consent-revocation requests as applicable; coordinate relevant requests with MRN promptly. Maintain evidence supporting lawful contact. Comply with federal and state email, telephone and text marketing rules, including TCPA and applicable do-not-call requirements. Obtain separate consent where required for automated/prerecorded marketing and other regulated communications. Stop unauthorized follow-ups; lead access is not permission to ignore an unsubscribe or refusal.
6. Compensation and referral restrictions
Membership, lead and referral arrangements must reflect actual lawful services and comply with licensing requirements, brokerage policies and RESPA where applicable. MRN receives fixed professional membership fees and charges per lead; MRN does not receive a percentage of a transaction closing. No provision requires or permits prohibited kickbacks, payments for mortgage settlement referrals, unlawful fee splits or unlicensed activity. Members are responsible for their independent client contracts and professional duties.
7. Professional conduct and confidentiality
Act professionally and provide accurate claims about experience and services. Do not harass, spam, misrepresent credentials, interfere with the platform or evade agreed lawful payment terms. Member directories, proprietary materials and nonpublic communications are confidential and may not be scraped, sold or used for unrelated marketing. Do not retain data after membership ends beyond a lawful and disclosed purpose or required retention period. Privacy and confidentiality duties survive termination.
8. Intellectual property and access
MRN and its licensors retain rights in branding, materials and systems. Membership grants limited, nontransferable access for the intended purpose. MRN may suspend or terminate access for material breach, unlawful activity, nonpayment or conduct threatening users, subject to applicable law and accepted plan terms. Termination does not cancel accrued lawful obligations or applicable privacy rights.
9. Service limitations and responsibility
Services are provided as available, without a promise of referral quantity, quality, revenue or uninterrupted access. To the extent permitted by law, MRN disclaims implied warranties and liability for indirect or consequential losses. Nothing excludes nonwaivable duties or liability. Members are responsible, to the extent permitted by law, for claims and expenses caused by their own unlawful conduct, misuse of data, material breach or professional services.
10. Changes, governing law and contact
This Agreement, the Terms & Conditions, Privacy Policy and accepted plan terms govern membership. Updates will show a revised date; material changes will receive notice and acceptance where required by law. North Carolina law governs, except that applicable mandatory protections remain in effect.
