Agreement

Medical Referral Network (MRN)
Effective Date: February 4th, 2026

This Membership Agreement (“Agreement”) is entered into by and between Medical Referral Network (“MRN,” “we,” “our,” or “us”) and the individual or entity applying for or maintaining membership (“Member,” “you,” or “your”).

By enrolling as a member, accessing the MRN platform, or paying membership fees, you agree to be bound by this Agreement.

1. Purpose of Membership

MRN is an exclusive, subscription-based referral network designed to connect licensed real estate professionals with other approved members for referral opportunities.

MRN does not:

  • Act as a real estate brokerage

  • Represent buyers or sellers

  • Participate in real estate transactions

  • Guarantee referrals, income, or business results

2. Eligibility & Member Representations

By joining MRN, you represent and warrant that:

  • You hold an active and valid real estate license

  • You are in good standing with your state licensing authority

  • You comply with all applicable federal, state, local, MLS, and brokerage rules

  • All information you provide to MRN is accurate and current

MRN reserves the right to verify licensing status at any time.

3. Membership Approval & Term

Membership is subject to MRN approval and is granted on a month-to-month or annual basis, depending on the selected plan.

MRN reserves the right to:

  • Accept or deny any application

  • Limit membership by market, geography, or specialty

  • Cap the number of members in a given area

4. Membership Fees & Billing

  • Membership fees are billed in advance on a recurring basis

  • All fees are non-refundable unless explicitly stated otherwise

  • Failure to maintain payment may result in suspension or termination

Members are responsible for managing subscriptions, including cancellations, through their account or by contacting MRN support prior to the next billing cycle.

5. Referrals & Independent Business Relationships

All referrals facilitated through MRN:

  • Are voluntary and non-exclusive

  • Are negotiated directly between members

  • Are subject to applicable real estate laws and brokerage policies

MRN is not a party to referral agreements and assumes no responsibility for:

  • Referral outcomes

  • Commission disputes

  • Payment of referral fees

  • Client satisfaction or transaction performance

6. Member Responsibilities & Conduct

Members agree to:

  • Act professionally, ethically, and in good faith

  • Respond to referrals in a timely manner

  • Respect confidentiality of member and client information

  • Comply with all real estate laws and ethical standards

Members may not:

  • Misrepresent credentials or experience

  • Harass, spam, or solicit members outside MRN’s intended purpose

  • Share, sell, scrape, or distribute member directory data

  • Circumvent MRN to avoid referral expectations or agreements

7. Confidentiality

All MRN materials, directories, communications, and member information are considered confidential and proprietary.

Members agree not to:

  • Disclose MRN content to non-members

  • Use member data for marketing outside referral-related purposes

  • Retain or use directory information after membership termination

8. Intellectual Property

All MRN branding, content, systems, and materials are the exclusive property of MRN. Membership grants a limited, non-transferable license to access the platform for its intended purpose only.

9. Suspension & Termination

MRN may suspend or terminate membership immediately, with or without notice, for:

  • Violation of this Agreement

  • Unethical or unprofessional conduct

  • Non-payment

  • Actions harmful to MRN or its members

Upon termination:

  • Access to MRN services ceases immediately

  • No refunds will be issued

  • Confidentiality obligations survive termination

10. Disclaimer of Guarantees

MRN makes no guarantees regarding:

  • Referral volume or quality

  • Business growth or revenue

  • Market exclusivity unless expressly stated in writing

Membership is a networking opportunity, not a promise of results.

11. Limitation of Liability

To the fullest extent permitted by law, MRN shall not be liable for any indirect, incidental, consequential, or punitive damages arising from membership, referrals, or business dealings between members.

12. Indemnification

You agree to indemnify and hold harmless MRN, its owners, officers, and affiliates from any claims, damages, losses, or expenses arising from:

  • Your use of MRN services

  • Your referral activities

  • Your real estate transactions or business practices

13. Modification of Agreement

MRN may update this Agreement at any time. Continued membership after changes are posted constitutes acceptance of the revised Agreement.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to conflict of law principles.

15. Entire Agreement

This Agreement, together with MRN’s Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and MRN regarding membership.
